Overview
The Minnesota Society of Anesthesiologists (MSA) is governed and led by its member-elected Board of Directors. The Board of Directors is elected at MSA’s Annual Meeting, which occurs at the Spring Conference.
As a component society of the American Society of Anesthesiologists (ASA), MSA has representatives in its Board of Directors and House of Delegates. In accordance with their Bylaws, all ASA members must maintain membership in a state component society.
The MSA Board of Directors manages the business and financial affairs of the Society. It is comprised of members of the Executive Committee; the Director, Alternate Director, Delegates, and Alternate Delegates for the ASA; Chairs of the MSA standing committees; and a senior and junior resident representative from each anesthesia residency program in the state.
The Executive Committee (EC) is comprised of the President, President-Elect, Vice-President, Secretary-Treasurer, and Immediate Past President of the Society. The EC expedites, executes, and administers the policies adopted by the Board. If necessary, they may publish and implement positions or statements on behalf of the MSA when this proves to be in the Society’s best interests.
The ASA Director and Alternate Director represent MSA on the ASA Board of Directors. The ASA Board of Directors directs publication and distribution of all official documents, journals, and reports mandated by the ASA House of Delegates. It establishes and oversees the ASA’s reserve funds and executes duties specified in the Bylaws. Similar to the members of U.S. Senate, each of the state societies has one Director and one Alternate Director.
The ASA Delegates and Alternate Delegates represent Minnesota on the ASA House of Delegates (HOD). The ASA HOD is the primary legislative and governing body of the ASA. It exercises final authority over all matters except where delegated elsewhere by the Bylaws. Similar to the U.S. House of Representatives, the number of HOD delegates representing each state society is determined by their membership numbers.
